This photography agreement is between Humboldt Cannabis Photographers (hereafter referred to as "Photographers" or "Videographers" and or "Drone Operators" and signed participant (hereafter referred to as "Client").

Humboldt Cannabis Photographers agrees to provide photography, videography and and or cannabis drone services for Client in consideration of payment provided pursuant to the terms of this photography services contract.

Photographers agree to provide no fewer than the planned photoshoot shotlist(s). Videographers agree to provide footage that aligns with the agreed video shot list(s) Drone operators agree to provide drone footage and or drone photography that aligns with the agreed content shotlist(s). The selection of images and footage delivered to the Client is left to the discretion of the Photographers, Videographers, and or Drone Operators.

The Client shall assist and cooperate with Photographers, Videographers and or Drone Operators in obtaining the desired content, including but not limited to specifying models and/or scenes to be photographed, taking time for pre-shoot consultations, etc. The Photographers, Videographers and/or Drone Operators are not responsible for photographs not taken as the result of the Client's failure to provide reasonable cooperation or assistance.

After the photoshoot, the photographers will perform basic post-processing and professional retouching services on these photos where artistically necessary. The final photographs will be delivered no more than 14 days after the photoshoot.

After the video and drone session, the Videographers and/or Photographers will perform basic post-processing and professional video editing services on this video footage and or drone photography where artistically necessary. The final video footage will be edited and delivered no more than 30 days after the video shoot.

The Client will receive web-ready photos via a private online viewing and download gallery. High resolution images are $250 each and include rights to print, share and distribute. High resolution images will be delivered to Clients on a custom Cannabis Photographers crystal USB drive. The Client understands that when publishing photos online, the client will not edit the photos in any way.

Fees

In consideration of the photography, videography and or drone services provided by the Photographers, Videographers and/or Drone Operators, the Client agrees to pay the sum of the agreed quote and invoice amount. A non-refundable deposit totaling 50% (fifty percent) of the total price of the photography , videography and or drone services is due upon the signing of this contract. If the Client cancels the Shoot for any reason, the non-refundable deposit will not be returned to the Client.

Any remaining balance must be paid in full no later than the photography, videography and/or drone services date. If the Client chooses to purchase photo prints, additional service add-on's or other products separately after the Shoot, payment for those products is due immediately upon ordering.

Work Product

The Client agrees that Photographers, Videographers and/or Drone Operators shall be the sole and exclusive photographers, videographers and/or drone operators for the events specified in this photography services contract. The Client agrees and understands that no party other than Cannabis Photographers, Erin Delsigne and Jake Roach, may take pictures of any poses, lighting situations, or setups made by the Photographers, Videographers and Drone Operators.

Photographers will deliver proofs of photos to the Client no more than fourteen days (14 days) after the date of the Shoot. Client understands and agrees that proofs are the exclusive property of Photographer.

All photos delivered to Client are for Client’s business commercial use only. No rights are or will be transferred to Client without prior written consent from Photographers.

Client agrees to pay Cannabis Photographers, Erin Delsigne and Jake Roach, $500 per individual photograph violation.

All videos delivered to Client are for Client’s business commercial use only. No rights are or will be transferred to Client without prior written consent from Videographers.

Client agrees to pay Humboldt Cannabis Photographers, Erin Delsigne and Jake Roach, $1000 per individual video violation.

Indemnification

1. Client agrees that Photographer cannot guarantee certain poses, product styled sets, or coverage quality and that Humboldt Cannabis Photographers shall in no way be held liable for compromised coverage due to interference from third parties or the environment. Further, Photographers, Videographers and/or Drone Operators shall not be responsible for photographs and video footage not taken because of Client’s failure to provide reasonable assistance or cooperation. Photographer has the right to end the session, without refund, due to a lack of cooperation or respect.

2. If Photographers, Videographers and or Drone Operators are unable to perform the services in this contract due to any cause outside its control, such as fire, flood, casualty, or any other reasonable cause, Client agrees to indemnify photographers, videographers and/or drone operators for any loss, damage or liability. However, Photographer will return in full, all payments made by Client to Photographer in relation to this session.

3. Client agrees to indemnify and hold harmless Photographers, Videographers and or Drone Operators for any liability, damage, or loss related to technological failure, including cameras, drone, stabilizers, hard drives, and memory cards. Photographers, Videographers and/or Drone Operators will take professional steps to prevent data loss but is not liable for loss of data due to technical failure.

4. Client understands and agrees that Photographers, Videographers and/or Drone Operators agrees to retain copies of your delivered final gallery from the Shoot for 90 days. After this period has expired, Photographers, Videographers and/or Drone Operators has no duty to retain copies of original files or photos from the session. It is the responsibility of Client to purchase, store, and backup photos after the agreed-upon period.

5. Client will not hold Photographers, Videographers and/or Drone Operators or the owner of the property liable for any injury that may occur during the session.

6. Client agrees and understands that the quality of a photograph and video footage is entirely subjective. Photographers, Videographers and Drone Operators are not required to cater to the specific aesthetic preferences of Client.

7. Client agrees and understands that Photographers, Videographers and/or Drone Operators may perform digital retouching of photos, video and or drone content, including blemish removal, creative effects, teeth whitening, and other edits. Client agrees to hold Photographers, Videographers and/or Drone Operators harmless for any edits which may be viewed as defamatory or demeaning.

8. Photographers, Videographers and/or Drone Operators retain the right to omit any image or any footage. It is understood that Photographers, Videographers and/or Drone Operators will not deliver every exposure taken and/or every frame recorded.

Duty of Client

Client will obtain all permissions necessary for Photographers, Videographers and/or Drone Operators to photograph, record video and /or fly a drone at the Client's event location. Photographer has no duty to obtain permission from reception centers, buildings, properties, or other locations to operate thereon. Client understands and agrees that any failure to obtain these permissions resulting in fines to Photographers, Videographers and/or Drone Operators, or which prevent Photographers, Videographers and/or Drone Operators from photographing and/or video recording the event(s) is not the fault, liability, or responsibility of Photographers, Videographers and/or Drone Operators.

Legal Fees

In the event Photographers, Videographers and/or Drone Operators files suit to enforce any term or condition herein, Photographers, Videographers and/or Drone Operators is entitled to expenses of litigation, including reasonable attorney fees. Any legal disputes related to this contract will be resolved according to the laws of United States, California​ in a court of law.

Terms of Payment

Client agrees and signed the provided photography, videography and/or drone services quote delivered via email by Cannabis Photographers.

Business or personal checks must be mailed to Humboldt Cannabis Photographers 3531 N Street Eureka CA 95503 or payment can be made online upon Client request of Humboldt Cannabis Photographers.

Debit and Credit card payments are made through a private online payment portal on our website. Cannabis Photographers will supply you a private link upon delivery of your invoice. Card processing fees are at 3% (three percent) will be added to Client's invoice for all private online card processing requests.
